Terms of Service

These Terms of Service ("Terms") govern access to and use of the hosted Replofy platform. If Customer and Replofy sign an Order Form or a separate master agreement, the order of precedence is: Order Form or negotiated agreement, then the Data Processing Agreement, then any applicable Service Level Agreement, then these Terms, and then the Privacy Policy.

By creating an account, connecting channels, or using Replofy on behalf of an organization, Customer represents that it has authority to bind that organization to these Terms.

Replofy provides a hosted, multi-tenant customer support platform that may include ticketing, knowledge retrieval, AI drafting, customer workflows, widgets, and connected channel integrations.

Customer is responsible for:

• maintaining accurate account and billing information;
• assigning appropriate workspace roles and protecting credentials;
• reviewing connected channels, workflow rules, and AI settings before enabling autonomous actions;
• ensuring uploaded content and messages do not violate law, contract, or third-party rights; and
• maintaining the business processes, approvals, and policies needed for refunds, escalations, or other customer-specific automations.

Customer may not use Replofy to:

• upload unlawful, infringing, deceptive, or malicious content;
• probe, disrupt, or bypass service security, tenant boundaries, or rate limits;
• resell the service without written authorization from Replofy;
• submit regulated or special-category data unless the parties have agreed in writing on the applicable controls and permitted use; or
• use autonomous features where human review is legally required or commercially necessary but intentionally disabled by Customer.

Replofy may suspend or limit access where necessary to address abuse, protect the service, comply with law, or prevent material harm.

Customer will pay the fees stated in the applicable Order Form, subscription flow, or pricing page. Unless otherwise stated, subscriptions renew automatically for successive terms equal to the initial billing cycle.

Fees are non-cancelable and non-refundable except as required by law, expressly stated in an Order Form, or provided through an applicable SLA service-credit process.

Replofy may connect to third-party services selected by Customer, including Gmail, widgets, and other supported customer-selected services. Customer is responsible for maintaining the rights, permissions, and third-party accounts needed for those integrations.

Third-party services are governed by the terms and availability of the relevant provider. Replofy is not responsible for outages, policy changes, deprecations, or pricing changes imposed by third-party providers.

Features labeled beta, preview, early access, or private beta are offered as-is, may change materially, and may be excluded from SLA commitments.

Each party will protect the other party's non-public business, technical, and commercial information using reasonable care and will use it only to perform or receive the services under the parties' agreement.

Replofy retains all rights in the service, software, documentation, and aggregated service know-how. Customer retains all rights in its data, content, workflows, branding, and uploaded knowledge assets.

If Customer provides feedback, Replofy may use that feedback to improve the service without restriction and without owing Customer compensation, provided Replofy does not publicly identify Customer as the source without permission.

Replofy will handle controller data in accordance with the Privacy Policy. When Replofy processes Customer Personal Data on Customer's behalf, the Data Processing Agreement applies.

Replofy maintains the security measures described in the DPA and any executed customer agreement. The Security Summary is informational only and does not expand or modify Replofy's contractual commitments. Customers remain responsible for the data they upload, the channels they connect, the workflows they enable, and the business decisions they automate.

Either party may terminate the service at the end of the current term by giving notice before renewal. Replofy may suspend or terminate access immediately for material breach, fraud, nonpayment, or unlawful use.

After termination, Customer can request export or return of its data where supported by the service. Operational deletion follows the timelines in the Privacy Policy and DPA.

Replofy will provide the service in a professional manner consistent with generally accepted SaaS operating standards. Except for that limited commitment and any express commitments in an executed SLA, the service is provided on an "as available" and "as is" basis.

Customer acknowledges that AI-generated outputs depend on the customer's source content, settings, and selected workflows, and should be reviewed by Customer where the use case requires human judgment or approval.

To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data. Any direct damages are limited to the fees paid or payable by Customer for the affected service during the 12 months before the claim, except for payment obligations, breach of confidentiality, or liabilities that cannot be limited under applicable law.

Replofy may update these Terms from time to time. Material changes will be posted here with an updated date and, where appropriate, communicated through the service or by email.

Unless an Order Form states a different notice channel, contractual notices under these Terms may be sent by email to the customer's designated administrative contact and to support@replofy.co. Sections concerning accrued payment obligations, confidentiality, intellectual property, feedback, liability limits, and any provisions that by their nature should survive termination will survive termination. Neither party may assign these Terms without the other party's prior written consent, except to an affiliate or in connection with a merger, reorganization, or sale of substantially all assets with notice to the other party.
